  • This Material Release Agreement ( the “Agreement”) is provided in connection with the use of the artwork/media as depicted and/or described with particularity [in the attached Exhibit A OR uploaded file] and any photos, name(s),signage, art, design, labels, logos, images, likenesses and/or any other material contained therein (collectively, the "Material") that the Grand Chapter of the Delta Sigma Theta Sorority, Incorporated (the “Sorority”)intends to incorporate into its productions related to the Sorority’s artist registry or database(the “Projects”) from individuals and businesses who apply to be featured in the Projects (the “Artist”)(individually, the “Sorority” or the “Artist”, collectively, .the “Parties”). For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the artist hereby grants to the Sorority the non-exclusive and revocable right to incorporate the Material, and any portions or images contained therein, in whole or in part, in audio segments or video footage, within the Projects to be aired in anyone, or multiple segments within the Projects, at any time and for any other purpose that Delta deems reasonable, in any manner and in any and all media, in any and all versions, whether now known or hereafter devised,throughout the world, in any and all languages, including advertising,publicity, and promotion. Additionally, the Artist hereby grants the Sorority access to the Material for promotional purposes of the Projects and any other projects for the Sorority . The Sorority has the right to alter or modify the material in any manner for all purposes defined herein. The Artist understands that the Sorority will provide credit to the Artist where reasonable for display in the Projects and other purposes. No casual or inadvertent failure to provide such credit will constitute breach of the Agreement. The artist represents that the Artist has the full right to grant to the Sorority the right to use the Material without the necessity of making payments to and/or obtaining further consent of the Artist or any third party. Nothing herein requires the Sorority to use the Material. The Sorority may assign its rights and obligations hereunder as it deems appropriate. The Artist agrees to indemnify and hold harmless the Sorority and its officers, directors,employees, and affiliates thereof, from and against any liabilities, losses,claims, demands, costs (including without limitation reasonable attorney's fees) and expenses arising in connection with any breach or alleged breach by the Artist of any of the representations and agreements contained herein. The Artist acknowledges that, in the event of any breach of this Agreement by the Sorority or any third party, the damage, if any, caused to the Artist thereby will not be irreparable or otherwise sufficient to entitle the Artist to seek injunctive or other equitable relief. The Artist acknowledges that their rights and remedies in any such event will be strictly limited to the right, if any, to recover damages in an action at law, and the Artist will have neither the right to rescind or terminate this Agreement or any of the Sorority’s rights hereunder, nor the right to enjoin the production,exhibition, or other exploitation of the Projects or derivative work thereof,or any subsidiary or allied rights with respect thereto. This agreement shall be governed by the laws of the District of Columbia. The Parties agree and consent that the jurisdiction and venue of all matters relating to this agreement will be vested exclusively in the federal, state and local courts within the District of Columbia. Any amendments, modifications, or supplements to this Agreement shall be made and acknowledged both parties.Should any part of this Agreement be held invalid, illegal, or unenforceable in any jurisdictions, it shall not effect, invalidate nor render unenforceable any other terms of the Agreement This Agreement constitutes the entirety of the agreement about the Projects described herein, and supersedes all prior or contemporaneous understandings and agreements, whether written or oral. ARTISTOR DULY AUTHORIZED REPRESENTATIVE, SIGNING INDIVIDUALLY AND AS MEMBER OF ARTIST COMPANY.
